These Terms & Conditions ("Terms") govern access to and use of the AssetiQ (the "Platform") provided by Rugged Telemetry, Inc. ("Rugged Telemetry", "we", "us"). By accessing the Platform you agree to these Terms. This document is provided as a starting draft for the Rugged Telemetry legal team to review and is not legal advice.
1. Eligibility and accounts
The Platform is provided to authorized personnel of organizations that have a current agreement with Rugged Telemetry. You must be at least 18 years old and authorized by your organization to access the Platform. Accounts are personal — credentials must not be shared.
2. Acceptable use
You agree not to: (a) interfere with or disrupt the Platform; (b) access data not authorized for your account; (c) reverse engineer or attempt to extract source code, except as permitted by law; (d) introduce malware or attempt to compromise security controls; (e) use the Platform to violate any law or third-party right; or (f) use the Platform to operate equipment in a manner that is unsafe or contrary to operator instructions or manufacturer guidance.
3. Customer data
Your organization retains ownership of data it submits or generates through the Platform ("Customer Data"). You grant Rugged Telemetry a limited license to host, process, and display Customer Data solely to deliver and improve the Platform and to meet our obligations to your organization.
4. Devices and telemetry
Devices integrated with the Platform must be installed and operated in accordance with the manufacturer's instructions and applicable regulations. Telemetry is provided for operational visibility and decision support; it is not a substitute for safety systems, certified instrumentation, or human judgment.
5. Service availability
We strive to maintain high availability but do not guarantee uninterrupted access. Scheduled maintenance, emergency maintenance, and events outside our reasonable control may cause downtime. Service-level commitments, if any, are governed by your organization's separate agreement with Rugged Telemetry.
6. Intellectual property
The Platform, including its software, design, brand, and content (excluding Customer Data), is owned by Rugged Telemetry and its licensors and is protected by intellectual property laws. No rights are granted except as expressly stated in these Terms or in your organization's agreement.
7. Confidentiality
Each party will protect the other party's confidential information with reasonable care and use it only for purposes consistent with these Terms.
8. Disclaimers
The Platform is provided "as is" and "as available". To the maximum extent permitted by law, Rugged Telemetry disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of liability
To the maximum extent permitted by law, Rugged Telemetry will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities, arising out of or related to the Platform. Aggregate liability for direct damages is limited as set out in the master agreement between Rugged Telemetry and your organization.
10. Suspension and termination
We may suspend or terminate access to the Platform for material breach of these Terms, misuse, security risk, or non-payment by your organization. Upon termination, your right to access the Platform ceases immediately.
11. Monitoring
All activity on the Platform is logged and may be monitored under the AssetiQ Acceptable Use Policy for security, support, audit, and compliance purposes.
12. Governing law
These Terms are governed by the laws of the jurisdiction in which Rugged Telemetry, Inc. is incorporated, without regard to its conflict-of-laws principles. Disputes will be resolved in the courts of that jurisdiction unless your organization's master agreement specifies otherwise.
13. Changes
We may update these Terms from time to time. Material changes will be communicated through the Platform or by email. Continued use after the effective date constitutes acceptance.
